By accessing or using Naper AI's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We may update these terms from time to time. Continued use of the services after changes constitutes acceptance of the updated terms. We will notify you of material changes via email or through our platform.
Account Registration
To use our services, you must create an account with accurate and complete information. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized use You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these terms.
Use of Services
Our services are provided for legitimate e-commerce catalog management purposes. You agree not to: • Use the platform to generate misleading, fraudulent, or deceptive product information • Attempt to reverse-engineer, decompile, or extract our AI models • Upload content that infringes on intellectual property rights of others • Use automated systems to access the platform beyond authorized API usage • Resell, sublicense, or redistribute the services without authorization • Exceed your plan's usage limits or circumvent technical restrictions
Intellectual Property
You retain ownership of all product data you upload to our platform. Content generated by our AI tools (descriptions, titles, metadata) is licensed to you for your commercial use. Naper AI retains all rights to our platform, technology, AI models, and brand assets. You may not use our trademarks, logos, or brand elements without prior written consent. By using our services, you grant us a limited license to process your data as necessary to provide the services.
Payment Terms
Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout. All fees are non-refundable except as required by applicable law. • Prices may change with 30 days' prior notice • Failed payments may result in service suspension • AI credits are consumed per-use and do not carry over between billing periods unless stated otherwise • You can cancel your subscription at any time; access continues until the end of the billing period
Limitation of Liability
To the maximum extent permitted by law, Naper AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim. AI-generated content is provided "as is" — while we strive for accuracy, we recommend reviewing all generated content before publishing.
Termination
You may terminate your account at any time through your account settings. We may terminate or suspend your access if you violate these terms or engage in prohibited activities. Upon termination: • Your right to access the services ceases immediately • We will make your data available for export for 30 days • After 30 days, your data will be permanently deleted • Any outstanding fees remain payable
Governing Law
These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary. If any provision of these terms is found unenforceable, the remaining provisions shall continue in full force and effect.
